Part I

Privacy Policy

1. Introduction

This Privacy Policy outlines how Rovii Capitech Private Limited ("We", "Us", "Our", or the "Platform") collects, uses, stores, and protects the personal and financial data of users ("You", "Your", or the "User"). We operate as a Lending Service Provider (LSP) providing technology infrastructure, loan origination, and loan management services on behalf of our partnering Non-Banking Financial Companies (NBFCs), Banks, and licensed money lenders (collectively, "Lending Partners").

We do not lend our own money.

2. Information We Collect

To facilitate credit assessment and loan processing, we collect the following data with your explicit consent:

  • Identity and KYC Data: Name, date of birth, PAN number, Aadhaar number (collected in compliance with UIDAI masking guidelines), Voter ID, and photograph.
  • Financial Data: Bank account details, bank statements, income proofs, tax returns, and existing loan details.
  • Device and Technical Data: IP address, device ID, operating system, and app usage data.

Specific Declarations per RBI Guidelines: We do not access your mobile phone's contact list, call logs, files, or media gallery. Access to your device's camera and microphone is requested only for specific, one-time regulatory requirements such as conducting Video KYC, and requires explicit, granular consent.

3. Purpose of Data Collection

Your data is used strictly for the following purposes:

  • Forwarding your loan application to our Lending Partners for credit appraisal and underwriting.
  • Verifying your identity and preventing fraudulent activities.
  • Facilitating loan disbursement and EMI collection management.
  • Complying with applicable Anti-Money Laundering (AML) and Know Your Customer (KYC) regulations.

4. Data Sharing and Disclosure

We do not sell your personal data. We only share your data with:

  • Lending Partners: Specifically the lender processing your application, to evaluate and approve your loan.
  • Credit Information Companies (CICs): Such as CIBIL, Experian, or Equifax, as required by the Lending Partners.
  • Authorized Third-Party Service Providers: Entities assisting with e-signatures, e-NACH setup, and cloud hosting, bound by strict confidentiality agreements.
  • Regulatory/Government Bodies: When required by law, court order, or regulatory mandate.

5. Data Storage, Localization, and Security

  • Data Localization: All personal, financial, and loan-related data is stored exclusively on secure servers located within the territorial borders of India, in strict compliance with Reserve Bank of India (RBI) mandates.
  • Security Measures: We implement bank-grade encryption (e.g., AES-256), secure firewalls, and regular vulnerability assessments to protect your data against unauthorized access, alteration, or destruction.

6. Your Rights Under DPDP Act, 2023

  • Right to Access & Update: You may request access to or correction of your personal data.
  • Right to Revoke Consent: You may withdraw your consent for data processing at any time. Note: Withdrawing consent may result in the immediate suspension of your loan application or our inability to provide further services.
  • Right to Erasure: You may request the deletion of your data, subject to our and our Lending Partners' legal obligation to retain certain records under Indian law.

7. Data Retention

We retain your data only for as long as necessary to fulfill the purposes outlined in this policy or as mandated by law (e.g., PMLA guidelines require certain records to be kept for 5 years after the business relationship ends).

8. Grievance Redressal

If you have any concerns, complaints, or questions regarding this Privacy Policy, please contact our Grievance/Nodal Officer:

We will acknowledge your grievance within 24 hours and resolve it within 30 days (or as prescribed by RBI guidelines).

Part II

Indemnification & Limitation of Liability

These clauses are integrated into the app's overall Terms and Conditions that the user accepts upon signing up.

1. User Indemnification

You agree to defend, indemnify, and hold harmless Rovii Capitech Private Limited, its affiliates, directors, employees, and Lending Partners from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in any way connected with:

  • Your provision of false, forged, inaccurate, or misleading information or documents.
  • Your violation of any applicable laws, rules, or regulations in India.
  • Your breach of these Terms of Service or the Privacy Policy.
  • Any fraudulent use of the Platform or misuse of the disbursed loan amount.

2. Limitation of Liability and Role of the Platform

  • Platform as an Intermediary: Rovii Capitech Private Limited operates solely as a technology platform and Lending Service Provider (LSP). The final decision to approve, reject, or determine the terms of the loan rests entirely with the respective Lending Partner (NBFC/Bank).
  • No Liability for Loan Rejection: We shall not be held liable for any loss or damage arising from the rejection of your loan application or any delays in disbursement by the Lending Partner.
  • Technical Interruptions: While we strive for 100% uptime, we shall not be liable for any direct or indirect damages resulting from platform downtime, technical glitches, or circumstances beyond our reasonable control (Force Majeure).
Part III

Terms of Service

1. Acceptance of Terms

By downloading, installing, or accessing the Rovii mobile application (the "Platform"), you agree to be bound by these Terms of Service, our Privacy Policy, and any other applicable policies. If you do not agree to these terms, you must immediately cease using the Platform.

2. Eligibility

To use this Platform and apply for loan products, you must:

  • Be a citizen and resident of India.
  • Be at least 18 years of age and legally competent to enter into a binding contract under the Indian Contract Act, 1872.
  • Meet the specific credit, income, or occupational criteria (e.g., salaried, self-employed, or agricultural criteria) established by our Lending Partners.

3. Nature of Services

  • Role of the Platform: Rovii Capitech Private Limited operates as a Lending Service Provider (LSP). We provide a digital interface to connect borrowers with our regulated Lending Partners (NBFCs, Banks, and licensed money lenders). We do not directly lend money or issue credit.
  • Loan Facilitation: The Platform facilitates the origination of various credit products, whether you are applying for standard retail loans, SME credit, or specialized agricultural and rural finance.
  • Final Approval: The underwriting, credit assessment, and final decision to approve or reject a loan application rest solely with the Lending Partner.

4. Account Registration and Security

You are required to create an account using your mobile number and an OTP (One-Time Password). You are solely responsible for maintaining the confidentiality of your login credentials and OTPs. We will not be liable for any unauthorized access to your account resulting from your negligence.

5. Transparency and Disclosures RBI Digital Lending Compliance

  • Key Fact Statement (KFS): Before the execution of any loan contract, you will be provided with a KFS detailing the loan amount, Annual Percentage Rate (APR), processing fees, penal charges, and the recovery mechanism in a language understood by you.
  • Direct Disbursement: All loan disbursements will be executed directly from the bank account of the Lending Partner to your verified bank account. The Platform will not hold, route, or pool the loan funds.
  • No Hidden Fees: We do not charge the borrower any hidden fees for matching them with a lender. Any fees payable to us as an LSP are borne directly by the Lending Partner, unless explicitly stated and agreed upon upfront.

6. Repayment and Collections

  • Repayment Methods: You agree to repay the loan principal, interest, and applicable charges according to the schedule provided by the Lending Partner. Repayments must be made through authorized digital channels (e.g., e-NACH, UPI, net banking) directly to the Lending Partner's account.
  • Recovery Practices: In the event of a default, recovery efforts will be conducted strictly by the Lending Partner or their authorized recovery agents in accordance with RBI's Fair Practices Code. The Platform strictly prohibits harassment, use of abusive language, or calling outside of legally permissible hours.

7. Prohibited Conduct

While using the Platform, you agree not to:

  • Submit false, forged, or misleading KYC documents or financial records.
  • Use the Platform for any illegal activities, money laundering, or fraud.
  • Attempt to reverse-engineer, hack, or disrupt the functionality of the Platform.
  • Apply for a loan on behalf of another individual without lawful authorization.

8. Termination

We reserve the right to suspend or terminate your account and block your access to the Platform immediately, without prior notice, if we suspect you have violated these Terms of Service or engaged in fraudulent activities.

9. Governing Law and Dispute Resolution

  • Governing Law: These Terms shall be governed by and construed in accordance with the laws of India.
  • Jurisdiction: Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Hyderabad, India.
